Magnora aims to make sure the market is in possession of correct, clear and timely information about the company’s operations and condition at all times. This is essential for efficient pricing of the shares as well as confidence in the company. The Board has established guidelines for the reporting of financial and other information – and for any contact with shareholders beyond the scope of General Meetings – based on openness and equal treatment of all participants in the securities market. There shall be sufficient information on a timely basis to the market as the basis for a fair valuation of Magnora shares. The CEO is responsible for investor relations.

Policy
Dividend Policy
Magnora allocates capital to where the company expects a return well above the cost of capital. The capital structure is normally all equity based with substantial cash. Taking into account the need for growth capital and expected future cash flows, excess capital will normally be returned to the shareholders through dividend, repayment of paid-in capital or share buybacks with subsequent cancelling of shares. Such excess capital may include received earn-out payments related to past project sales, which upon receipt may lead to extraordinary dividend or capital return.

Governance
Corporate governance in Magnora
As a listed company on the Oslo Stock Exchange (Oslo Børs), the Company aims at conducting its business in accordance with the Norwegian Code of Practice for Corporate Governance of 14 October 2021 (the “Code of Practice”).
The Company is committed to high ethical standards in its business dealings to ensure that the integrity of its employees and the organization is maintained. Corporate social responsibility for the Company is an extension of the way the Company conducts its business and is described in the Code of Conduct.


The Board of Directors
The Board is ultimately responsible for administering the affairs and ensuring that the operations are organised and run in a satisfactory manner. The members of the Board are currently Torstein Sanness (chair), John Hamilton, and Hilde Ådland , all presented on the Team page of this website.
The Nomination Committee
The Nomination Committee evaluates annually the composition of the Board of Directors, and the committee and gives a recommendation to the General Meeting regarding election of members (when due) and remuneration of these governing bodies. The current members of the committee are Fredrik D. Sneve (chair), Gunerius Pettersen, and Stian Folker Larsen. The committee appreciates, by February each year, shareholders’ submission of candidates to the Board or the Nomination Committee, via the form on the Contact page of this website. Such inputs are considered by the committee in parallel with its dialogue with major shareholders and considerations of needed competence and relevant candidates.
